COMPOSITION OF PRESIDIUM AND TERMS OF OFFICE

The Presidium of the Association is a joint governing body whose members are elected at the General Meeting of Members for a period of 4 years.

It consists of 7 members who elect the President and the Vice President for a term of 4 years.

Members of the Presidium have to meet the following requirements: impeccable reputation, high morality, distinction in social activities, Catholic, membership at the Association.

At least one member of the Presidium must be a priest of the Catholic Church.

DUTIES OF THE PRESIDIUM:

• To direct the activities of the Association;
• To appoint and dismiss the Secretary-General of the Association, to consider his/ her activity report;
• To take decisions regarding the establishment and termination of groups and offices of the Association;
• To appoint and dismiss general managers of separate groups and offices, to decide upon the necessity to establish new positions in the Association and to discuss remuneration issues;
• To prepare activity recommendations of groups, offices, and embassy of the Association;
• To take decisions on the implementation of the Association’s projects;
• To approve the admission of new members of the Association;
• To approve agreements of the Association of a value exceeding 20 000 EUR.
• To convene the General Meeting of Members and the Meeting of Members’ Representatives;
• To decide upon quotas of representatives;
• To select and change the Association’s office place.
• To have other rights and obligations provided in the documents regulating the activities of the Association.

Every member of the Presidium shall have the right to convene a meeting of the Presidium. The Presidium may take decisions when more than half of its members are present.

The decisions of the Presidium shall be taken by a simple majority. When the votes are evenly distributed, the President’s vote is decisive.

The Secretary-General of the Association shall also take part in the meetings of the Presidium without the right to vote.

The main purpose of the Ethics Commission is to solve ethical issues arising in the activities of the organization.

All the activities of the Ethics Commission are determined by the Code of Ethics which is approved by the Presidium.

Members of the Audit Commission are elected at the General Meeting of members for a period of 4 years.

The Audit Commission is composed of 3 members. The Chairman of the Audit Commission is elected from current members of the Commission for a period of 4 years.

Members of the Audit Commission cannot simultaneously become members of the Presidium or Secretary-General.

DUTIES OF THE AUDIT COMMISSION:

1. To control the expediency of agreements made by the Association.
2. To supervise the use of the Association’s funds and assets.
3. To submit a report regarding the use of the Association’s funds during the General meeting of members.
4. To examine and verify complaints provided by members of the Association.
